1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of PlaybookOps.ai, including all websites, applications, software, and services provided by PlaybookOps, Inc. (“PlaybookOps,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Description of Services

PlaybookOps provides an AI-powered platform designed to help businesses transform conversations, recordings, and operational knowledge into documented Standard Operating Procedures (“SOPs”), playbooks, and scalable operational systems.

The Services may include:

- Voice-to-text transcription

- AI-assisted SOP creation and formatting

- Documentation management and storage

- Integrations with third-party tools

- Workflow, training, and automation features

PlaybookOps may modify, enhance, or discontinue features at any time.

3. Eligibility and Account Registration

You must be at least 18 years old and have the authority to bind your organization to these Terms.

When creating an account, you agree to:

- Provide accurate and complete information

- Maintain the security of your login credentials

- Accept responsibility for all activity under your account

You are responsible for ensuring your users comply with these Terms.

4. User Content and Ownership

a. Your Content

You retain full ownership of all content you submit, upload, or generate through the Services, including:

- Audio recordings

- Transcripts

- SOPs and documentation

- Business processes and operational data

b. License to PlaybookOps

You grant PlaybookOps a limited, non-exclusive, royalty-free license to use, process, store, and display your content solely to:

- Provide and operate the Services

- Generate outputs requested by you

- Improve platform functionality (in aggregate and anonymized form only)

PlaybookOps does not use your content to train public AI models.

5. Acceptable Use

You agree not to use the Services to:

- Violate any applicable laws or regulations

- Infringe intellectual property rights

- Upload malicious code or harmful content

- Misuse the platform for unauthorized data access

- Interfere with or disrupt platform operations

- Attempt to reverse-engineer or extract source code

We reserve the right to suspend or terminate accounts for violations.

6. AI-Generated Output Disclaimer

PlaybookOps uses artificial intelligence to assist in generating SOPs and documentation.

You acknowledge that:

- AI-generated outputs are assistive tools, not professional advice

- Outputs may require human review and validation

- PlaybookOps does not guarantee accuracy, completeness, or suitability

- You remain responsible for how outputs are implemented in your business

7. Subscription, Billing, and Payments

Certain features require a paid subscription.

By subscribing, you agree to:

- Pay all applicable fees according to your plan

- Provide accurate billing information

- Allow automatic recurring charges unless canceled

Fees are non-refundable except as required by law or expressly stated otherwise.

PlaybookOps may change pricing with advance notice.

8. Third-Party Services and Integrations

The Services may integrate with third-party tools (e.g., Google Drive, Notion, Microsoft 365).

PlaybookOps is not responsible for:

- Third-party services or outages

- Data handling by third-party providers

- Changes to third-party APIs or terms

Your use of third-party services is governed by their respective terms.

9. Confidentiality

Each party agrees to protect the other’s confidential information and use it only to fulfill obligations under these Terms.

Confidential information does not include information that:

- Is publicly available

- Was already lawfully known

- Is independently developed

- Is required to be disclosed by law

10. Data Security and Privacy

PlaybookOps implements reasonable safeguards to protect your data. However, no system is completely secure.

Your use of the Services is subject to our Privacy Policy, which governs how we collect and use personal data.

11. Termination

You may cancel your account at any time.

PlaybookOps may suspend or terminate access:

- For violation of these Terms

- For non-payment

- For security or legal reasons

Upon termination:

- Your right to use the Services ends

- We may delete your data after a reasonable period, subject to legal obligations

12. Intellectual Property

All PlaybookOps software, branding, trademarks, and proprietary technology are owned by PlaybookOps or its licensors.

Except as expressly permitted, you may not copy, modify, or distribute our intellectual property.

13. Disclaimer of Warranties

The Services are provided “as is” and “as available.”

To the fullest extent permitted by law, PlaybookOps disclaims all warranties, including:

- Merchantability

- Fitness for a particular purpose

- Accuracy or reliability of outputs

- Uninterrupted or error-free operation

14. Limitation of Liability

To the maximum extent permitted by law:

PlaybookOps shall not be liable for:

- Indirect, incidental, or consequential damages

- Loss of profits, data, or business opportunities

- Decisions made based on AI-generated outputs

Our total liability shall not exceed the amount you paid to PlaybookOps in the 12 months preceding the claim.

15. Indemnification

You agree to indemnify and hold harmless PlaybookOps from claims arising out of:

- Your use of the Services

- Your content

- Your violation of these Terms

- Your violation of applicable laws

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Idaho, without regard to conflict-of-law principles.

Any disputes shall be resolved in the state or federal courts located in Idaho, unless otherwise agreed in writing.

17. Changes to These Terms

We may update these Terms periodically. Changes will be posted with a revised “Last Updated” date.

Continued use of the Services constitutes acceptance of the updated Terms.
